12. GOVERNING LAW AND DISPUTE RESOLUTION

If informal resolution is unsuccessful, any dispute shall be resolved through binding arbitration in accordance with the arbitration rules applicable in Quebec. The arbitration shall take place in Montreal, Quebec, and shall be conducted in English or French, at the choice of the initiating party.

Notwithstanding the foregoing, either party may bring an individual action in small claims court for disputes or claims within the scope of that court’s jurisdiction.

12.3 Waiver of Class Actions

To the extent permitted by law, any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. SEVERABILITY
